Terms of Service

Effective date: September 15, 2026

1. Who we are

Sendly.ng ("Sendly", "we", "us", "our") is a business messaging platform product of New Generationweb Solution ("the Company"), a company registered in Nigeria with its registered address at No 9, Cairo Street, Wuse II, Abuja, Nigeria. These Terms of Service ("Terms") govern your access to and use of Sendly's website, dashboard, and API (together, the "Service").

By creating an account or otherwise using the Service, you agree to these Terms on behalf of yourself and, if you are acting for a business, on behalf of that business ("you", "your account"). If you do not agree, do not use the Service.

2. What Sendly is

Sendly is a technology platform that lets businesses send messages — starting with SMS, with additional channels planned over time — to their customers and contacts. Sendly does not build or operate its own telecommunications network. Instead, every message you send through Sendly is delivered to mobile networks through Sendly's licensed telecommunications and value-added service (VAS) partners, who hold the relevant regulatory authorizations required to deliver messages in Nigeria. Sendly is responsible for the platform, your account, your wallet, and your experience; actual message delivery over mobile networks is carried out by these partners.

3. Accounts and eligibility

  • You must provide accurate, current information when registering, and keep it up to date.
  • You are responsible for everything that happens under your account, including actions taken by teammates you invite and any API key you generate.
  • You must be authorized to act on behalf of the business you register, and that business must be lawfully operating in the jurisdictions it messages from and to.
  • Sendly may ask you to verify your identity or business details (know-your-customer checks) before enabling certain features, such as a Sender ID or higher sending limits.

4. Wallet, billing, and payments

Sendly is a prepaid, wallet-based platform. You fund your wallet through our payment partner (currently Paystack) before sending messages, and each message or campaign debits your wallet at the rate shown in the Service at the time you send it. All wallet transactions — credits, debits, refunds, and reversals — are recorded as an immutable ledger entry; we do not simply overwrite a balance.

  • Wallet funds are non-transferable to another Sendly account and, except where required by law or expressly stated otherwise, non-refundable once spent on a successfully delivered or attempted message.
  • Prices are shown in Nigerian Naira (₦) and may change from time to time; we will make current pricing available in the Service before you send at a new rate.
  • You are responsible for any fees charged by your payment method or bank in connection with funding your wallet.
  • We may set minimum and maximum funding amounts per transaction, shown at the time you fund your wallet.

5. Your responsibilities as a sender

You are solely responsible for the content of every message you send through Sendly, for having a lawful basis (such as consent or an existing customer relationship) to message each recipient, and for complying with our Acceptable Use Policy, Anti-Spam Policy, and Messaging Compliance Policy. Sendly reserves the right to review, hold, or reject any message or campaign that appears to violate these Terms or applicable law, and to suspend or terminate an account for repeated or serious violations.

6. Sender IDs

A Sender ID is the name recipients see as the message sender. Sender ID requests are reviewed by Sendly and, where required, submitted onward to our upstream messaging partners for their own approval. Approval timelines and outcomes are ultimately determined by those partners and by telecom operators, not by Sendly, and are not guaranteed. See our Sender ID Policy for details.

7. Service availability

We aim to keep Sendly available and reliable, but the Service depends in part on third parties — mobile networks, upstream messaging partners, payment processors, and hosting infrastructure — that are outside our control. We do not guarantee uninterrupted availability or that every message will be delivered, and we are not liable for delivery failures, delays, or outages caused by those third parties.

8. Intellectual property

Sendly and its logos, branding, and platform are owned by the Company. You retain ownership of the content you send and the contact data you upload; you grant Sendly only the limited right to process that content and data as needed to operate the Service, consistent with our Privacy Policy.

9. Suspension and termination

We may suspend or terminate your access to the Service if you violate these Terms or our other policies, if required by law or by an upstream partner, or to protect the Service or other customers from fraud, abuse, or security risk. You may close your account at any time by contacting us; any remaining wallet balance will be handled in line with applicable law and our refund practices at the time.

10. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind, to the fullest extent permitted by law. To the fullest extent permitted by applicable law, the Company's total liability arising from or relating to the Service is limited to the amount you paid to Sendly in the three months preceding the event giving rise to the claim. Nothing in these Terms limits liability where such limitation is not permitted by Nigerian law.

11. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will take reasonable steps to notify you (for example, by email or an in-app notice) before it takes effect. Continued use of the Service after a change takes effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, and any dispute arising from them will be subject to the exclusive jurisdiction of the courts of Nigeria.

13. Contact us

Questions about these Terms can be sent to info@sendly.ng or by phone at 0701 352 1801. Our registered address is No 9, Cairo Street, Wuse II, Abuja, Nigeria.
